Cyborganic Stratus – End User License Agreement (EULA)

This End User License Agreement (“EULA” or “Agreement“) is a legally binding contract between you (“User“, “you“, or “your“) and Cyborganic Arts (“we“, “us“, or “our“), governing your access to and use of the Cyborganic Stratus services (the “Service“), a family of hosted cloud collaboration and productivity platforms built on Nextcloud technology. The Service includes Cyborganic Stratus Light (entry-level tier) and higher-tier plans that provide expanded features and capacity.By subscribing to, accessing, or using the Service (including any tier), you agree to be bound by this EULA. If you are agreeing on behalf of an organization or entity, you represent that you have the authority to bind that entity to these terms.If you do not agree to these terms, you may not subscribe to, access, or use the Service.

1. Service Overview

Cyborganic Stratus is a secure, hosted cloud platform offering file storage, synchronization, sharing, and integrated productivity tools across web, desktop, and mobile clients.

Stratus Light (entry-level tier): Includes starting storage of 9 GB (upgradable to 1 TB), secure messenger (chat, audio/video calls, groups), notes with markdown and sync, contacts address book, calendar with events/reminders/sharing, community access, and technical support.

Higher Tiers (e.g., Stratus Pro, Stratus Enterprise, or similar): Unlock additional capacity, advanced collaboration features such as real-time document editing and co-authoring (Office suite integration), AI-powered assistance tools (e.g., content summarization, smart search, generative support via Assistant), enhanced sharing controls, priority support, and other premium functionalities as described in your selected plan.

The Service is provided as a managed, hosted solution; you do not receive installation files or self-hosting rights under this Agreement.

2. License Grant

Subject to your compliance with this EULA, full payment of applicable fees, and an active subscription, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely during your subscription term for your personal non-commercial use (or, for business/organizational subscriptions, for your internal operations, subject to any user, storage, or feature limits in your plan).This license does not convey ownership of the Service, underlying software, integrations, trademarks, or any intellectual property rights. The Service is licensed, not sold.

3. Underlying Technology

The Service incorporates Nextcloud software licensed under the GNU Affero General Public License v3 (AGPLv3). Where applicable under AGPLv3, modified source code for network-interacting components will be provided upon request. Additional integrated tools (e.g., Office editing via compatible editors, AI Assistant models) may be subject to their own open-source licenses or third-party terms, which are incorporated herein by reference.

4. Account and User Obligations

You must register and maintain an account with accurate information and secure credentials. You are fully responsible for all activity under your account.

You agree not to:

• Engage in illegal, fraudulent, harmful, or abusive activities.
• Attempt to reverse-engineer, decompile, disassemble, or extract source code (except where law expressly permits).
• Introduce malware, viruses, or disrupt the Service or other users.
• Exceed plan limits (storage, users, API calls, etc.) or circumvent restrictions.
• Misuse AI/Assistant features (e.g., generating unlawful content) or Office tools in violation of laws.
• Share account access with unauthorized individuals.

You retain ownership of content you upload, create, or store (“Your Content“). You grant us a worldwide, royalty-free license to host, store, process, transmit, backup, and display Your Content as necessary to provide, secure, and improve the Service (including AI processing in enabled tiers).

5. Subscriptions, Billing, and Plan Changes

Subscriptions are prepaid and auto-renew unless canceled through your Cyborganic Arts account settings. You may upgrade or downgrade tiers at any time (subject to availability); downgrades may reduce features, storage, or access to tools like Assistant or Office, effective at the next billing cycle.We may adjust pricing, features, or introduce new tiers with reasonable notice (via email or in-app). Continued use after changes constitutes acceptance. No refunds for partial periods unless required by law.

6. Beta and Early Access Provisions For beta or preview releases (e.g., V0.1):

The Service may include bugs, limited performance, interruptions, or incomplete features. No service level agreements (SLAs), uptime guarantees, or warranties apply. We disclaim liability for data loss, corruption, or unavailability during beta testing. Participate by reporting issues in the designated “BETA Testing” community channel.

Upon beta completion or version transition, we will provide updated terms (including revised EULA, Privacy Policy, or conditions) via email. Continued access requires acceptance; non-acceptance may result in termination.

7. Privacy, Data, and Specific Feature Terms

Your Content and personal data are processed in accordance with our Privacy Policy. For AI Assistant features (higher tiers), processing is designed to prioritize privacy; you remain responsible for compliant use and outputs. Office collaboration may involve integrated third-party components; their supplemental terms apply where relevant.You warrant that Your Content complies with all applicable laws. We are not responsible for your legal compliance.

8. Intellectual Property

We and our licensors retain all rights, title, and interest in the Service, software, designs, trademarks (including “Cyborganic” and “Stratus”), and related materials. You may not use our marks except to legitimately reference your use of the Service.

9. Suspension and Termination

We may suspend or terminate your access for material breach, non-payment, suspected illegal activity, or legal obligations, with or without prior notice.Upon termination, your license ends immediately. We may delete Your Content after any applicable grace period (if provided).

10. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. BETA VERSIONS, AI, AND ADVANCED FEATURES CARRY INHERENT RISKS.TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, BUSINESS OPPORTUNITIES, OR INTERRUPTION.

11. Indemnification

You agree to indemnify, defend, and hold us harmless from claims, losses, or damages arising from your use of the Service, Your Content, violation of this EULA, or infringement of third-party rights.

12. Governing Law and Dispute Resolution

This Agreement is governed by the laws of England and Wales, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of England.

13. Modifications to this EULA

We may update this EULA from time to time. We will notify you of material changes (via email or Service notice). Your continued use constitutes acceptance. For significant updates (especially affecting beta or premium features), explicit acceptance may be required.

14. Miscellaneous

This EULA, our Privacy Policy, and your subscription details constitute the entire agreement. If any provision is unenforceable, the remainder remains in effect.By accessing or using Cyborganic Stratus, you confirm that you have read, understood, and agree to this EULA.
